Participation
Participation is by application and approval only. Kim Shui Studio may approve, decline, pause, or end any participation at its discretion. Your personal code and link are for your own audience and may not be posted to coupon, deal, or discount-aggregation sites, nor used in paid search on Kim Shui brand terms.

Commission
Commission is calculated on net sales: the merchandise subtotal of an order placed with your code, less any discounts applied. Net sales exclude shipping, duties, taxes, gift wrapping, gift cards, and any amount later refunded or returned. Your rate is 10% at Tier One and 12.5% at Tier Two, unless the studio has agreed a different rate with you in writing. Tier upgrades are granted by the studio based on your sales and content.

Attribution
An order is attributed to you when your discount code is applied at checkout. Your share link applies your code automatically on the visitor's device. Where more than one code or promotion could apply, the code recorded on the Shopify order governs. Orders that are cancelled, fraudulent, or paid for with an unrecovered chargeback earn no commission.

Refund hold and payout
Commission is created as pending and becomes payable after a 30-day return and refund hold measured from the order date. If an order is refunded during the hold, the related commission is voided. Payable balances are paid on the studio's regular payout cycle to the details you provide. You are responsible for your own taxes; you participate as an independent party and not as an employee, agent, or partner of Kim Shui Studio.

Content license
By submitting a video or image through the program, you grant Kim Shui Studio a worldwide, royalty-free, sublicensable, perpetual license to host, reproduce, edit for length or format, and display that content on the Kim Shui website, the Kim Shui app, and in Kim Shui marketing, including paid social and email. You confirm that you own or control the content, that everyone appearing in it has consented, and that any music or third-party material in it is cleared for this use. Credit is given by handle where practical. You may ask us to retire a piece of content and we will remove it from active placements within a reasonable period.

Disclosure and conduct
You must disclose your commercial relationship with Kim Shui Studio clearly in every post that uses your code or link, as required by applicable advertising rules. Content that is discriminatory, defamatory, sexually explicit, or otherwise damaging to the brand is not permitted and may end participation immediately.

Product
Product allowances at Tier Two are gifted for content purposes and are not for resale. Gifted product carries no cash value and cannot be exchanged.

Changes
Kim Shui may update these terms at any time; continued participation constitutes acceptance. Material changes to commission rates apply only to orders placed after the change.
